CONTINUING PERSONAL GUARANTY (“GUARANTY”) – PERSONAL GUARANTOR

(Capitalized terms not defined in this Guaranty have the meanings given in the Agreement.)

By checking the box and accepting below, each individual (“Guarantor”), in his or her personal capacity and not as an officer or representative of Merchant, jointly and severally and unconditionally guarantees to Frame Payments, Inc. (“ISO”) and Bank, and their successors and assigns, the prompt payment and performance of all obligations of Merchant under the Merchant Processing Agreement, as amended from time to time (the “Agreement”), including Chargebacks, fines, fees, Reserve Account funding, and attorneys’ fees and collection costs. ISO or Bank may demand payment from any Guarantor without first proceeding against Merchant, any other Guarantor or any security. Guarantor’s liability is not reduced by any change to the Agreement, release of Merchant or any other Guarantor, Merchant’s bankruptcy, a change of sponsor bank, or Guarantor ceasing to be an owner or officer, and Guarantor waives notice and all suretyship defenses. This Guaranty continues until all obligations, including those arising after termination, are paid in full, and is reinstated if any payment is returned. Guarantor authorizes ISO and Bank to obtain credit reports on Guarantor. This Guaranty is part of the Agreement and governed by its terms. If Merchant is an entity, at least one principal must accept.

I have read and agree to this Guaranty. I accept it electronically in my individual capacity, and my electronic acceptance has the same effect as my handwritten signature.
